Description:
This role is responsible for managing contract drafting, commercial negotiations, and contract administration to support manufacturing projects and business operations. The position oversees preparation of commercial agreements, contract lifecycle management, risk mitigation, compliance, and stakeholder coordination while safeguarding the organization’s legal and commercial interests.
Key Responsibilities:
- Lead end-to-end drafting, review, negotiation, and administration of commercial contracts, agreements, and legal documents.
- Develop and maintain standardized contract templates, clause libraries, and documentation to ensure consistency across the organization.
- Draft and finalize EPC Contracts, Purchase Agreements, Supply Agreements, Service Agreements, Consultancy Agreements, Vendor & Supplier Contracts, Subcontractor Agreements, Work Orders, NDAs, MoUs, AMCs, Lease Agreements, and Labour Contracts.
- Ensure contracts clearly define scope of work, deliverables, commercial terms, payment schedules, warranties, indemnities, liabilities, confidentiality, force majeure, and dispute resolution mechanisms.
- Lead contractual negotiations with customers, vendors, consultants, contractors, and business partners while protecting the organization’s commercial interests.
- Identify contractual risks and recommend appropriate mitigation strategies through effective contractual provisions and commercial safeguards.
- Collaborate with Procurement, Projects, Engineering, Finance, HR, and other stakeholders to ensure contractual alignment with business and project objectives.
- Monitor contract execution, renewals, amendments, milestones, and contractual obligations to ensure timely compliance and effective contract management.
- Ensure compliance with applicable laws, statutory requirements, organizational policies, and governance standards.
- Coordinate with external legal counsel for specialized legal advice and support when required.
- Maintain centralized contract repositories, version control, documentation, and contract data integrity.
- Prepare and present contract status reports, renewal schedules, risk assessments, and MIS reports to management.
- Support dispute resolution, contractual claims, and interpretation of contractual provisions during project execution.
- Drive continuous improvement in contract management processes, documentation standards, and governance practices.
Skills & Qualifications:
- Bachelor’s Degree in Law (LL.B.), Commerce, Business Administration, Engineering, or a related discipline.
- LL.M., MBA, or PG Diploma in Contract Management/Commercial Law will be preferred.
